By downloading and/or installing this Font Software, you agree to be bound by the terms of this Agreement.

I. Definitions

I.a. Font

“Font”, “Fonts”, and “Font Software” have identical meanings herein. They are defined as the items identified in your Sales Receipt

I.b. You

“You” and “Your” refer to the customer who purchased the license for the Font.

I.c. JTD

“JTD” is defined as the organization known as JTD Type, registered as JTD, LLC.

I.d. Sales Receipt

“Sales Receipt” refers to the electronic document You received upon the purchase of your Fonts.

I.e. Gross Revenue

“Gross Revenue” is defined as the money generated by You or Your Client, prior to deals, discounts, allowances, or any other deductions or expenses. If You do not have 12 months’ history, then gross revenue is Your projected full-year gross sales, prior to deals, discounts, allowances, or any other deductions or expenses.

I.f. Application

“Application” is defined as software designed to operate on any operating system on any device.

I.g. Website

“Website” is defined as a collection of web pages sharing a unique Second-Level domain name. “Websites” is defined as a collection of more than one (1) Website.

I.h. Broadcast

“Broadcast” is defined as an electronic transmission of any visual media content via internet, television or film.

I.i. Broadcaster

“Broadcaster” is defined as any person or organization transmitting a Broadcast.

I.j. Third Party

“Third Party” is defined as anyone not You or a member of Your organization.

I.k. Client

“Client” and “Clients” are defined as a Third Party You have explicitly named during your purchase of the Font.

I.l. Viewer

“Viewer” is defined as one member of your audience or anyone who has visited Your Website.

II. Allowed Uses

II.a. License Size

This license allows for the use of the Font by You provided the Gross Revenue specified on Your Sales Receipt matched Your Gross Revenue at the time of purchase. If Your Gross Revenue increases after the purchase of the Fonts, the license remains valid. If You have purchased the Font on behalf of Your Client, Your Client’s Gross Revenue must be used.

II.b. Time And Location-Based Limitations

This license is perpetual and has no geographical limitations

II.c. Static Uses

This license allows for the use of the Font for the creation of static images on any surface such as computer and television screens, paper, photographs, printed material, shirts, web pages, applications, and any surface on which the image is a fixed size. You may use the Font to create EPS or other scalable drawings.

II.d. Web Fonts

This license allows for the use of the Font in an unlimited number of Websites provided all of the Websites are owned by You.

There is no restriction based on the number of Viewers.

II.e. Social Media

You may use the Font in static and dynamic social media content.

II.f. Applications

You may use the Font in Applications provided all of the Applications are owned by You.

II.g. Broadcast

You may use the Font in Broadcast media and for Broadcast purposes.

There is no geographical limit to this agreement. There is no restriction based on the number of Viewers.

II.h. Embedding and Linking

You may embed the font into any electronic document (such as a PDF), provided that document is not editable by the recipient.

III. Restricted Uses

III.a. Restricted Software

You are prohibited from using the Font in online document creators, or OEM software without an additional license from JTD. You may use static images, such as logos in the situations described herein.

III.b. Font Objects

You may use the Font on physical objects provided the differentiation of the object with other like items is not primarily based on the use of the Font, such as but not limited to, stencils, letter blocks, or house numbers without an additional license from JTD.

III.c. Artificial Intelligence

You may not use the Font for the purpose of training an artificial intelligence or machine learning algorithm.

III.c. NFTs

You may not use the Font in any context related to cryptocurrency or for the creation of Non-Fungible Tokens.

III.d. Online Storage

You must take all reasonable precautions to limit access to the Font to the parties listed herein. You may not upload the Fonts to any service which allows access to the Font by the general public, such as public GitHub repositories.

IV. Third Parties

IV.a. Allowed Parties and Uses

You may provide the Font to a graphic designer, printer, Broadcaster or other service provider working on Your behalf, only if they agree to use the Font exclusively for your work, agree to all terms of this license, and retain no copies of the Font upon completion of the work.

IV.b. Purchases for Clients

You may purchase a Font on behalf of a Client provided the Client is specified during the purchase process.

The Gross Revenue specified on the Sale Receipt must be equal to the Gross Revenue of the Client.

If no Client is specified, the Gross Revenue must be equal to Your Gross Revenue. You may still use the Font on work for Third Parties but you may not provide the Font to Third Parties not listed in §IV.a.

IV.c. Third Party Restrictions

You may not make the Font accessible to any other Third Parties or distribute the Font by any means not explicitly allowable herein.

V. Modifications

V.a. Allowed Modifications

You may import and alter the outlines of the font in a drawing program (such as Adobe Illustrator).

V.b. Restricted Modifications

You may not alter, adapt, modify, translate, or create derivative works based on the Font itself without JTD’s prior written consent.

VI. Copyright

You agree that the Font and accompanying materials are the exclusive property of JTD. Unauthorized copying of the Font even if modified, merged, or included with other software, or of the written materials, is expressly forbidden. You may be held legally responsible for any infringement of JTD’s intellectual property rights that is caused or encouraged by your failure to abide by the terms of this Agreement.

VII. Termination

You agree that The Agreement shall immediately terminate, without notice from JTD, if you fail to comply with any provision contained herein.

VIII. Disclaimer and Limited Warranty

VIII.a. Limited Warranty

JTD warrants the Font to be free from defects in materials and workmanship under normal use for a period of twenty one (21) days from the date of delivery as shown on your receipt. JTD’s entire liability and your exclusive remedy as to a defective Font shall be, at JTD’s option, either return of purchase price or replacement of any such Font that is returned to JTD with a copy of the Sales Receipt. JTD shall have no responsibility to replace the Font or refund the purchase price if failure results from accident, abuse or misapplication, or if any Font is lost or damaged due to theft, fire, or negligence. Any replacement Font will be warranted for twenty one (21) days. This warranty gives you specific legal rights. You may have other rights, which vary from state to state.

VIII.b. Disclaimer

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE PRODUCT, IS PROVIDED “AS IS”. JTD MAKES NO WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The entire risk as to the quality and performance of the Font rests upon You. Neither JTD nor the distributor warrants that the functions contained in the Font will meet your requirements or that the operation of the software will be uninterrupted or error free. JTD SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FROM LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE PRODUCT EVEN IF JTD OR THE FOUNDRY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to You.

IX. Governing Law

This agreement shall be interpreted under the laws of the State of Pennsylvania. Any litigation under this agreement shall be resolved in the trial courts of the State of Pennsylvania.
